Fabric Terms of Use#

1. Acceptance of Terms#
These Terms of Use form a binding agreement between you and TechFabric LLC ("TechFabric," "Company," "we," "us," or "our") governing your access to and use of the Fabric website, application, APIs, integrations, and related services (collectively, the "Service"). By creating an account, clicking to accept these Terms, or accessing or using the Service, you agree to be bound by them. If you use the Service on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity, and "you" includes that entity.
2. Eligibility and Account Registration#
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You agree to provide accurate, complete, and current registration information, keep that information updated, maintain the confidentiality of your login credentials, and promptly notify us of any suspected unauthorized access to your account. You are responsible for activity under your account except to the extent caused by our failure to use reasonable security measures.
3. Service Description#
Fabric is a software platform that may provide project, product, collaboration, automation, analytics, AI-assisted, and integration features. The Service may evolve over time, and we may add, modify, or discontinue features. We will not materially reduce paid core functionality during an active subscription period except as reasonably necessary for security, legal compliance, system integrity, or to address abuse or misuse.
4. Customer Content#
As between you and TechFabric, you retain ownership of content, data, files, prompts, outputs you are legally permitted to own, configurations, and other materials you submit to the Service ("Customer Content"). You grant us a non-exclusive, worldwide, limited license to host, process, transmit, display, reproduce, and otherwise use Customer Content only as necessary to provide, secure, maintain, support, and improve the Service and to comply with applicable law.
5. Acceptable Use#
You may not: (a) use the Service in violation of law or another person's rights; (b) upload malicious code or attempt to interfere with, probe, or disrupt the Service; (c) reverse engineer, decompile, or disassemble the Service except where such restrictions are prohibited by law; (d) use the Service to build a competing service using our confidential or proprietary elements; (e) bypass technical usage limits, authentication, or access controls; (f) submit content you do not have the right to use; or (g) use AI or automation features to generate, process, or distribute unlawful, harmful, deceptive, infringing, discriminatory, or abusive content. We may investigate suspected violations and suspend or remove content or access where reasonably necessary.
6. AI and Automated Features#
If the Service includes AI-assisted or automated features, outputs may be probabilistic, incomplete, outdated, or inaccurate and should be reviewed by a human before being relied on for legal, financial, safety-critical, employment, medical, security, or other high-risk decisions. You are responsible for your prompts, instructions, use of outputs, and internal review workflows. We may use third-party model, hosting, or infrastructure providers to operate these features.
7. Feedback#
If you provide suggestions, ideas, enhancement requests, recommendations, or other feedback about the Service, you grant TechFabric a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to use and exploit that feedback without restriction or compensation, provided that we will not publicly identify you as the source without your permission unless required by law.
8. Subscription, Fees, and Billing#
Paid plans, if offered, are billed as described in your order form, checkout flow, or pricing page. You authorize us and our payment processors to charge applicable subscription fees, taxes, usage fees, renewals, and other amounts due using your selected payment method. Unless otherwise stated, subscriptions renew automatically for successive periods equal to the initial term. You may cancel future renewals before the renewal date. Fees already paid are generally non-refundable except where required by law or expressly stated otherwise.
9. Trials and Promotional Credits#
If we offer free trials, beta access, or promotional credits, they are provided on an "as is" basis, may be modified or withdrawn at any time, may be subject to product-specific limits, and may expire if not used within the stated period. We may disable overage usage or require a valid payment method before continued access beyond included credits or trial limits.
10. Confidentiality#
Each party may receive non-public information designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). The receiving party will protect the disclosing party's Confidential Information using at least reasonable care, and will use it only as necessary to perform under these Terms. Confidentiality obligations do not apply to information that becomes public through no fault of the receiving party, was already known without a duty of confidentiality, was independently developed, or is rightfully obtained from a third party without breach of duty.
11. Intellectual Property#
TechFabric and its licensors own the Service, including the software, interfaces, visual design, trademarks, documentation, and all related intellectual property rights, excluding Customer Content and third-party materials. No rights are granted except as expressly stated in these Terms.
12. Third-Party Services and Integrations#
The Service may interoperate with third-party products, websites, repositories, communications tools, data sources, identity providers, payment processors, and AI or model providers. Your use of those third-party services is governed by their own terms and privacy practices. TechFabric is not responsible for third-party services, although we may suspend or disable integrations that create security, legal, operational, or performance risk.
13. Availability, Support, and Security#
We use commercially reasonable efforts to maintain the availability and security of the Service, but we do not guarantee uninterrupted, timely, secure, or error-free operation. Scheduled maintenance, emergency maintenance, internet outages, and third-party service failures may affect availability. You are responsible for maintaining your own backups of Customer Content to the extent appropriate for your use case.
14. Suspension and Termination#
We may suspend access immediately if reasonably necessary to prevent harm, address security threats, comply with law, avoid liability, investigate misuse, or respond to a material breach of these Terms. Either party may terminate a subscription as permitted by the applicable order, plan, or checkout terms. Upon termination, your right to use the Service ends, and we may delete or de-identify Customer Content in accordance with our retention practices, except where law requires preservation.
15. Disclaimers#
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TECHFABRIC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR YOUR PURPOSES, OR THAT ANY OUTPUTS, ANALYTICS, OR AUTOMATED RESULTS WILL BE ACCURATE OR COMPLETE.
16. Limitation of Liability#
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT FOR EXCLUDED CLAIMS, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID OR PAYABLE BY YOU TO TECHFABRIC FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) US$100. Excluded Claims include your payment obligations, your infringement or misuse of our intellectual property, either party's fraud, gross negligence, or willful misconduct, and liabilities that cannot be limited by law.
17. Indemnity#
You will defend, indemnify, and hold harmless TechFabric and its officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, and expenses arising out of your Customer Content, your violation of these Terms, or your unlawful use of the Service, except to the extent caused by our breach of these Terms or our gross negligence or willful misconduct.
18. Governing Law and Dispute Resolution#
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the personal jurisdiction and venue of those courts, except to the extent a different forum is required by applicable law. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect its intellectual property, confidential information, or other proprietary rights.
19. Changes to the Terms#
We may update these Terms from time to time. If we make material changes, we will provide notice by posting an updated version, emailing the account owner, or using in-product notice. The updated Terms become effective on the stated effective date. Continued use of the Service after that date constitutes acceptance of the updated Terms, except where applicable law requires a different form of consent.
